Abstract
U ovom radu se obrađuju upravljačka prava dioničara na glavnoj skupštini dioničkog društva. U uvodnom dijelu rada se daje pregled osnovnih pojmova dioničkog društva, podjela prava dioničara na upravljačka i imovinska prava. U daljnjem tekstu rada se obrazlažu osnovna upravljačka prava dioničara, pravo sudjelovanja dioničara na glavnoj skupštini, te uvjeti za sudjelovanje na glavnoj skupštini i pravo dioničara na predlaganje predmeta odlučivanja, pravo na obaviještenost i pravna sredstva kojima se ostvaruje to pravo, zatim, pravo glasa, te ograničenje i isključenje toga prava, ugovori o vezanju glasova, i pravo na pobijanje odluka glavne skupštine. Iznose se slučajevi koji se pojavljuju u praksi u svezi s korištenjem upravljačkih prava dioničara i načela dioničara.
Abstract (english)
This paper discusses the shareholders' control rights at the shareholders' meeting. In the introductory part of the paper, it provides an overview of the basic concepts of the joint stock company, with special emphasise on division between shareholders' control and property rights. Author points out open questions in exercising control rights: the right to convene the general meeting, the right to participate and right to vote at the general meeting, the right to put items on the agenda of the general meeting and to table draft resolutions, the right to corporate information, and the right to contest the general meeting's decision.
