Abstract
Postupak preuzimanja dioničkih društava u Republici Hrvatskoj, uređen je Zakonom o preuzimanju dioničkih društava. Zakon propisuje pod kojim uvjetima dolazi do objavljivanja ponude za preuzimanje, definirana je cijena koju je ponuditelj dužan platiti u ponudi za preuzimanje kao i hodogram postupka preuzimanja. U radu se poseban osvrt stavlja na kontrolni prag čijim prelaskom nastaje obveza objavljivanja ponude za preuzimanje. Autorica obrađuje čimbenike koji utječu na visinu kontrolnog praga kao i način računanja kontrolnog u hrvatskom pravu preuzimanja. Iznose se rezultati istraživanja o visini praga čijim prelaskom je nastala obveza objavljivanja ponude za preuzimanje ciljnih društava sa sjedištem u Republici Hrvatskoj u referentnom razdoblju od 2014. do 2016. godine.
Abstract (english)
In the Croatian law takeover procedure is regulated by the Act on the Takeover of Joint Stock Companies. This Act regulates terms and conditions for making a bid for a takeover of offere companies, takeover procedure, rights and obligations of the participants in the takeover procedure and supervision of takeover of offere companies. In this paper, author analyzes the control threshold in Croatian takeover law, which triggers a duty to launch the takeover bid. Special emphasize is given to factors that influence the control threshold as well as the method of calculating the control threshold according to the Croatian Takeover Act. Author elaborates the results of investigation of takeover bid procedures of the companies listed at the Zagreb Stock Exchange for a period from 2014 to 2016.
