Abstract
U ovom diplomskom radu analizirat će se institut predugovorne odgovornosti u trgovaĉkim ugovorima unutar hrvatskog prava. Budući da ĉesto dolazi do sklapanja trgovaĉkih ugovora s meĊunarodnim elementom, u ovom radu osvrnut ću se i na predugovornu odgovornost u trgovaĉkim ugovorima s meĊunarodnim elementom. Stoga, sama tema ovog rada odnosi se na institut predugovorne odgovornosti, koja se oĉitava u pregovorima i temelji na naĉelu savjesnosti i poštenja, u trgovaĉkim ugovorima, odnosno u ugovorima koje sklapaju trgovci u obavljanju svoje profesionalne djelatnosti. Institut predugovorne odgovornosti u hrvatskom zakonodavstvu bit će analiziran kroz odredbe Zakona o obveznim odnosima koje se temelje na voĊenju pregovora te poštivanju naĉela savjesnosti i poštenja. Analizom s meĊunarodnog aspekta, biti će razvidno kako nedostaju odreĊene, odnosno eksplicitne odredbe ovog instituta te zbog takvog nedostatka, prouĉiti ću koji su se problemi nastali te na koji se naĉin rješavaju.
Abstract (english)
In this master thesis, the institute of precontractual liability in commercial contracts within Croatian law will be analyzed. Given that commercial contracts with an international element are often concluded, this paper will also address precontractual liability in commercial contracts with an international element. Therefore, the very topic of this paper relates to the institute of precontractual liability, which is reflected in negotiations and is based on the principle of good faith and fairness, in commercial contracts, i.e., contracts concluded by merchants in the course of their professional activities. The institute of precontractual liability in Croatian legislation will be analyzed through the provisions of the Obligations Act, which are based on conducting negotiations and respecting the principles of good faith and fairness. Through an international perspective, it will become evident how certain or explicit provisions of this institute are lacking, and due to this lack, I will examine what problems have arisen and how they are resolved.
