Abstract
Vlastite dionice predstavljaju dionice koje drži samo dioničko društvo te su kao takve uređene Zakonom o trgovačkim društvima. One pripadaju društvu od samog izdavanja, što je relativno rijetko u praksi ili pripadnu kasnijim stjecanjem, kojemu se pridaje mnogo veći značaj. Vrlo je važno poštivati načelo unosa temeljnog kapitala i načelo očuvanja kapitala, zbog toga je stjecanje vlastitih dionica posebno uređeno. U radu se detaljnije obrađuje stjecanje vlastitih dionica, ciljevi i rizici... More stjecanja, kada je dopušteno stjecati vlastite dionice, brojna ograničenja prilikom njihovog stjecanja, pravni poslovi u vezi sa stjecanjem vlastitih dionica za koje Zakon o trgovačkim društvima izričito propisuje da su ništetni te na samom kraju posljedice nedopuštenog stjecanja vlastitih dionica.
