Abstract
U Republici Hrvatskoj povezana društva su uređena glavom VI. Zakona o trgovačkim društvima. Autorica u radu definira što su povezana društva, koje je njihovo pojmovno određenje, analizira vrste povezanih društava ističući razlike u tim društvima s naglaskom na njihovu svrhu i značaj. Autorica stavlja naglasak na odgovornost članova uprave i nadzornog odbora ovisnog i vladajućeg društva, razlikujući slučaj kada je sklopljen ugovor o vođenju poslova društva od slučaja kada navedeni ugovor nije sklopljen.
Abstract (english)
Group of companies are regulated by Croatian Companies Act. In the paper author analyses the definition of the group of companies, types of the group companies in Croatian Companies Law pointing out diferences in those companies with an emphasis on their purpose and significance. The author emphasizes the responsibility of the board members and the supervisory board of the parent and subsidiary company, distinguishing the case when a control contract has been concluded from the case when the said contract was not concluded.
