Abstract
Ovaj rad analizira zakonska uređenja obrta i jednostavnog društva s ograničenom odgovornošću kao dva najčešća pravno ustrojstvena oblika za pokretanje poslovanja u Republici Hrvatskoj. Iako su u sličnom zakonskom položaju što se tiče obavljanja svih zakonom dopuštenih gospodarskih djelatnosti, razlike između ova dva pravno ustrojstvena oblika osobito su izražene u pogledu njihovog osnivanja, unutarnjeg ustrojstva te odgovornosti za obveze. U radu su objašnjeni relevantni pojmovi obrta i jednostavnog društva s ograničenom odgovornošću te postupak njihova osnivanja, zakonski uvjeti potrebni za poslovanje, obvezna davanja obrta i jednostavnog društva s ograničenom odgovornošću, odgovornost za obveze, prestanak poslovanja te drugi bitni elementi regulatornog okvira u koji su svrstani, a prikazana je i jasna razlika između obrta koji nije pravna osoba te jednostavnog društva s ograničenom odgovornošću koje ima svojstvo pravne osobe isto kao i razlika između članova tog društva kao fizičkih osoba i samog društva kao pravne osobe, što je osobito važno prilikom određivanja granica odgovornosti za obveze. Obrt kao način obavljanja djelatnosti i jednostavno društvo s ograničenom odgovornošću kao jednostavniji oblik društva s ograničenom odgovornošću imaju mnogo prednosti i nedostatka pa o poduzetniku ovisi putem kojeg će pravno ustrojstvenog oblika obavljati svoju djelatnost. Potrebno je da poduzetnik sagleda sve zakonske elemente koji mu idu u prilog s obzirom na djelatnost kojom se želi baviti.
Abstract (english)
This thesis on topic „Legal comparison between craft and simple limited liability company“ analyses legal framework of craft and simple limited liability company as two the most frequent legal forms for starting a business in The Republic of Croatia. Although they are in a similar legal position regarding performance of all economic activities allowed by the law, the difference between them is particularly evident in terms of establishment, internal organisation and liability for their obligations. In the thesis are explained relevant terms such as craft, simple limited liability company, procedure of establishment, legal requirements for business, compulsory contributions, liability for obligations, cessation of business as well as the other substantial segments of the legal regulatory framework in which they are clasified. Furthermore, this thesis has outlined the obvious difference in the matter of legal entity of crafts and simple limited liability company. Also, it was given the difference between members of simple limited liability company as natural persons and this company as judical person. Both craft and simple limited liability company have their pros and cons, therefore it is up to businessman to choose the most suitable form for starting a business.
