Abstract
U radu je prikazano uređenje postupka preuzimanja dioničkih društava u Republici Hrvatskoj uz poseban naglasak na osiguranje naknade za preuzimanje svih dionica koje su predmet ponude za preuzimanje i to prvenstveno putem instituta bankarske garancije. Osim što je prikazano pravno uređenje i terminologija postupka preuzimanja, u teorijskom dijelu rada su opisani i osnovni elementi svih bankarskih garancija te se posebno ukazuje na specifičnosti bankarskih garancija koje se koriste u postupku preuzimanja dioničkih društava. U istraživačkom dijelu rada analizirane su objavljene ponude za preuzimanje u Republici Hrvatskoj u vremenskom razdoblju od 2014. do 2019. godine s obzirom na način osiguranja naknade za preuzimanje svih dionica koje su predmet ponude za preuzimanje i ostalih troškova postupka preuzimanja.
Abstract (english)
The thesis analyzes companies' takeovers in the Republic of Croatia with special emphasis on ensuring a takeover consideration for all shares that are subject of a takeover bid, primarily by means of the institute of bank guarantee. In addition to the legal regulation and terminology of the takeover procedure, the theoretical part of the paper describes basic elements of all bank guarantees and points out the specifics of bank guarantees used in companies' takeovers. The research part of the paper analyzes published takeover bids in the Republic of Croatia in time period between years 2014 and 2019 with regard to the method of ensuring a takeover consideration for all shares that are subject of a takeover bid and all other costs of the takeover procedure.
