Abstract
U ovom radu pobliže su opisane karakteristike i način osnivanja društva s ograničenom odgovornošću i jednostavnog društvo s ograničenom odgovornošću na daljinu. U Hrvatskoj se osnivanje navedenih društava može ostvariti na tri načina: osobno, uz pomoć HITRO.HR ureda i uz pomoć sustava START na daljinu. S obzirom da je cilj ovog rada osnivanje društva s ograničenom odgovornošću na daljinu, prikazat će se osnivanje društva putem HITRO.HR ureda i START sustava. Iako u praksi Hrvatske postoji osnivanje na daljinu, teži se uspostaviti sve veća primjena digitalnih alata prilikom osnivanja društava. Cilj je omogućiti svim građanima osnivanje društava na daljinu upotrebom digitalnih alata uz pružanje tehničke i administrativne potpore te osigurati zaštitu od zloporabe i prijevare svih koji koriste ovaj način osnivanja. U zemljama Europske unije postoje različite prakse i sustavi koji su dostupni građanima. Na globalnoj razini pokušava se ujednačiti i uspostaviti takav sustav osnivanja društava na daljinu i upotrebe digitalnih alata, koji će svima biti dostupan, a ne samo domaćim državljanima. Osnivanje na daljinu smanjuje troškove i vrijeme potrebno za osnivanje društva. Direktiva (EU) 2019/1151 Europskog parlamenta i Vijeća od 20. lipnja 2019. o izmjeni Direktive (EU) 2017/1132 u pogledu upotrebe digitalnih alata i postupaka u pravu društava nastoji uskladiti rješenja nacionalnih propisa država članica EU u vezi s osnivanjem trgovačkih društava na daljinu te uvesti širu primjenu digitalnih alata pri upisima društava u nacionalne javne registre. Stoga predstoji usklađivanje Zakona o trgovačkim društvima i Zakona o sudskom registru sa spomenutom Direktivom.
Abstract (english)
This paper analyzes charasteristics and online formation of a limited liability company and simple limited liability company. There are three ways for formation of these companies in Croatia: in person, with support of the HITRO.HR office and online, by use of the START system. Aim of this paper is presenting of the online formation of the company and it will be presented formation of a company with support of the HITRO.HR office and by use of the START system. Croatia is tending to increase use of digital tools in formation of companies. Aim is to enable to all citizens online formation of a company by use of digital tools and with technical and administrative support that guarantees protection against abuse and fraud of all persons who use this method of formation. There are different practices and systems available to citizens in the Member States of the European Union. In the global sphere there are attempts to unify and establish such system of online formation and use of digital tools which will be available to all persons, regardless to their citizenship. The purpose of online formation is reducing of financial costs and time required for formation of a company. Directive (EU) 2019/1151 of the European Parliament and of the Council of 20 June 2019 amending Directive (EU) 2017/1132 regarding the use of digital tools and procedures in company law aims to harmonize national provisions on online formation of companies in Member States and expands the use of digital tools in registration procedures.. Existing provisions of the Croatian Companies Act and Judicial Register Act should be harmonized with provisions of the Directive.
