Abstract
U ovom radu obrađuje se tema tajnog društva, kao specifičnog oblika društva osoba uređenog Zakonom o trgovačkim društvima. U tu svrhu u radu se najprije daju temeljne naznake o tajnom društvu, određuje se njegov pojam, svrha i obilježja koja ga izdvajaju od ostalih društava osoba. S obzirom na različite gospodarske svrhe za koje može poslužiti tajno društvo, u radu se dalje razmatraju obilježja tipičnog i atipičnog tajnog društva. Također se obrađuju razlike u odnosu na ortaštvo, ali i u odnosu na druge dvostranoobvezujuće ugovore. Posebno se razmatra kako nastaje tajno društvo, kakvi su pravni odnosi između članova tajnog društva te na koji način tajno društvo prestaje. U posljednjem poglavlju obrađuju se primjeri zlouporaba tajnih društava.
Abstract (english)
This thesis addresses the issue of a silent partnership, as a specific form of personal company governed by the Croatian Companies Act. To that end, thesis provides, first of all, legal fundaments of a silent partnership, its legal concept, purpose and the characteristics which distinguish it from other partnerships and companies of personal types. Given the different economic purposes for which a silent partnership can serve, the work further looks at the characteristics of a typical and atypical silent partnerships. Differences with regard to civil partnership are also dealt with, but also towards other contracts in which the parties have reciprocal obligations. Particular consideration is given to how a silent partnership arises, what are the legal relationships between the members of a silent partnership and how the silent partnership ceases to exist. The last chapter deals with examples of abuses of silent partnerships.
