Menadžerski ugovor je ugovor koji je neimenovan, budući da nije zakonski uređen, neformalan, naplatni i sui generis ugovor. To je ugovor koji je dvostrano obvezujući, ali obzirom da nije zakonski reguliran, ugovorne strane imaju malo veću slobodu prilikom ugovaranja sadržaja menadžerskog ugovora.
