The most important management right arising from a share is the right to vote, through the exercise of which shareholders can influence important decisions in the company. The principle of "one share - one vote" is based on the fact that equal voting rights are granted for an equal share of the share capital. In practise, however, numerous deviations from this principle have emerged, which are also referred to as control enhancing mechanisms (CEMs), as the use of these mechanisms can significantly influence the position of shareholders and the exercise of voting control in the company. In this paper, shares with multiple voting rights are analysed as a particular mechanism for enhancing control in the company. As some systematics predict 13 mechanisms of deviation from the principle of proportionality, other mechanisms besides shares with multiple voting rights are also analysed with a brief overview of their presentation, the actual application in the Member States of the European Union, but also the investors' view on them. It should be noted that Croatian law does not authorise the issuance of shares with multiple voting rights. Since some jurisdictions that did not allow the issuance of shares with multiple voting rights have changed their legal framework and allowed the application of this mechanism of derogation from the principle of proportionality, the solutions adopted in these jurisdictions are analysed. The author emphasises the advantages and disadvantages of applying this mechanism by setting out his own position de lege ferenda.
