This paper provides a comprehensive analysis of the franchise agreement with a particular reference to the right to a special fee. It begins by examining the historical development of franchise agreements, followed by a definition of the franchise concept and its various types. The paper then provides an in-depth review of the franchising contract and its parties, concentrating on key contractual clauses such as territorial rights, know-how transfer, supervision rights, service provision clauses, remuneration, contract duration, termination terms, and liability limitations or exclusions. A central part of the analysis investigates whether the special fee provision for commercial agents, as specified in Article 830 of the Civil Obligations Act, can be analogously applied to franchise agreements, given their similarities with commercial agency contracts. The study further examines the position of German, Austrian, Dutch, and Italian legislators regarding the applicability of this fee to franchise relationships. It outlines the conditions that must be met for the fee to be applied to the franchise agreements and explains the method of its calculation, with particular reference to the relevant case-law. Finally, the paper reviews Croatian judicial practice concerning the application of special fee in franchise agreements, concluding with the author's own point of view on the issue.
